Terms of Service — Runtive

1. Who we are
Runtive ("Runtive", "we", "us") is operated by LAJIE, an individual sole trader.

By creating an account or purchasing a subscription you agree to these Terms.
2. The service
Runtive is a digital SaaS product delivered instantly and electronically. There is no physical product and no shipping.
Runtive gives coding agents — such as Claude Code and Codex — memory that survives between sessions. When you finish a task, the runtive finish command captures your agent session transcript, your git diff and your check output, produces a Decision Brief and a structured extract, and refreshes the context file your next session reads.
Access begins immediately on subscription. Because delivery is immediate and the service is consumed as it is used, subscriptions are non-refundable except as described in §7.
Inference is customer-funded (BYOK). Runtive does not include model usage. You supply your own Claude Code or Codex access, or your own API key. See §9.
3. Accounts and security
- You sign in with GitHub OAuth. You are responsible for the security of that
GitHub account.
- You are responsible for all activity under your workspace and for the safe
handling of any API keys or workspace keys issued to you.
- You must be at least 18 years old to use Runtive.
- Report security issues to support@runtive.dev. We aim to acknowledge
security reports within 2 business days.
4. Subscription plans
Runtive is sold as a recurring subscription:

Prices are in US dollars and exclude any taxes that the payment processor is required to collect.
5. Automatic renewal
You authorise recurring billing. Your subscription renews automatically at the end of each billing period, at the then-current price, using the payment method on file, until you cancel. The 14-day free trial converts to a paid subscription automatically at the end of the trial unless cancelled before it ends.
We will give at least 30 days' notice by email before any price change affecting your subscription.
6. Cancellation
- You may cancel at any time from the customer portal provided by our payment
processor, or by emailing support@runtive.dev.
- Cancellation takes effect at the end of the current billing period. You keep
access until then.
- After a subscription ends, your workspace becomes read-only: existing
threads, runs and stored evidence remain readable and are not deleted immediately, but new billable writes are refused. Retention is governed by our Privacy Policy.
- Cancelling does not, by itself, delete your data. To request deletion, see the
Privacy Policy.
7. Refunds
- First-time subscribers may request a full refund within 7 days of their
first paid charge, by emailing support@runtive.dev.
- Outside that window, charges for a completed or in-progress billing period are
non-refundable, because the service is delivered instantly and consumed continuously.
- Refunds for duplicate charges or verified billing errors are always available.
- Refunds are issued through our payment processor to the original payment
method.
8. Billing disputes
If you believe a charge is wrong, contact support@runtive.dev before opening a chargeback. We will respond within 2 business days and work to resolve the dispute within 5 business days. Opening a chargeback without contacting us first may result in suspension of the workspace while the dispute is handled.
9. AI output, third-party models, and your responsibility
- Runtive produces AI-generated output: Decision Briefs, verdicts
(Accept / Review / Risky) and structured extracts. This output is assistive, probabilistic and may be wrong or incomplete. It is not professional advice, and it is not a substitute for your own code review, testing or judgement.
- Runtive relies on third-party AI providers, currently Anthropic and
OpenAI, reached with your own credentials or subscription. Their terms and policies apply to that usage, and they may bill you directly. Runtive does not include, resell or guarantee model availability.
- You remain responsible for anything you ship based on Runtive's output.
10. Acceptable use
You may not use Runtive to:
- generate, store or distribute child sexual abuse material, or any content that
sexualises minors;
- create deepfakes or impersonate real people or organisations deceptively;
- store or process content you have no right to process;
- violate applicable law, or infringe intellectual-property or privacy rights;
- attempt to breach, overload, reverse-engineer or circumvent the service's
security, quotas or billing controls;
- train, fine-tune or benchmark a competing AI or developer-tooling product
using Runtive's outputs or the service itself.
We may suspend or terminate a workspace that violates this section.
11. Your content and our access
You keep ownership of everything you submit — source code diffs, session transcripts, check output and any derived extracts. You grant Runtive only the licence needed to store, process and display that content in order to operate the service for you.
What you submit is stored as you send it. Session transcripts and check output frequently contain secrets, credentials and personal data. Runtive does not currently strip secrets from submitted content, so do not paste credentials into an agent session you intend to submit. See the Privacy Policy for what is stored, for how long, and how to delete it.
12. Availability
We aim to keep Runtive available but do not offer a service-level guarantee at this time. The service may be interrupted for maintenance, provider outages or factors outside our control.
13. Limitation of liability
To the maximum extent permitted by law, Runtive is provided "as is", without warranties of any kind. We are not liable for indirect, incidental, special or consequential damages, nor for lost profits, lost data or business interruption. Our total liability for any claim is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
14. Termination
You may stop using Runtive at any time (§6). We may suspend or terminate access for breach of these Terms, non-payment, or where required by law. Sections 9, 11, 13 and 15 survive termination.
15. Payments and merchant of record
Payments are processed by Waffo Pancake, which acts as merchant of record for subscriptions to Runtive. Waffo Pancake handles checkout, card processing, invoicing and applicable tax collection. Runtive never receives or stores your full card details. Your card statement may show a descriptor belonging to the payment processor.
16. Changes, governing law, and contact
- We may update these Terms. Material changes will be announced at least 15 days
in advance by email or in-product notice, and the "last updated" date above will change.
- These Terms are governed by the laws of the **People's Republic of China
(Mainland), without regard to conflict-of-law rules, and the competent courts of Chaoyang District, Beijing** have jurisdiction over disputes.
- Nothing in these Terms removes mandatory consumer-protection rights you have
under the law of your own country of residence. Where those rights conflict with this section, they prevail.
